Clients must ensure that they have the legal right to provide any software, content, data, domains, accounts, or systems made available to 3Bro CloudOps.
Clients are responsible for maintaining ownership and appropriate authorization for third-party services and accounts unless otherwise agreed in writing.
4. Project Scope and Changes
Services will be delivered according to the agreed project scope.
Requests that fall outside the original scope may require additional time, fees, or a separate agreement. 3Bro CloudOps will communicate material changes in scope or pricing before undertaking additional work whenever reasonably possible.
Changes requested after work has commenced may affect the estimated delivery timeline.
5. Pricing and Payment
Service fees will be communicated to the client before work begins. Depending on the project, payment may be required in full, in stages, or through an agreed milestone-based arrangement.
- Work may begin after the required advance payment has been received.
- Third-party costs such as hosting, domains, cloud infrastructure, software licenses, email services, APIs, and other external services are generally the client's responsibility.
- Additional work outside the agreed scope may incur additional charges.
- Outstanding invoices may result in suspension or termination of services.
All applicable taxes, government charges, or transaction fees will be handled in accordance with applicable requirements and the agreed commercial arrangement.
6. Hosting and Third-Party Services

Third-party services are governed by their respective terms and policies. 3Bro CloudOps is not responsible for outages, pricing changes, policy changes, service limitations, account suspensions, or other issues caused by third-party providers.
Where applicable, clients remain responsible for maintaining valid subscriptions and payment methods for third-party services.
7. Security and Access
3Bro CloudOps will take reasonable measures to protect credentials and access information provided for the purpose of delivering services.
Clients should provide only the access necessary to perform the agreed work and should promptly revoke or update access when it is no longer required.
Clients are responsible for notifying 3Bro CloudOps of any known security incident, unauthorized access, compromised credential, or other security concern affecting systems under management.
8. Backups and Data
Clients are responsible for maintaining appropriate backups of their data unless a backup service is explicitly included in the agreed scope of work.
Where backup configuration or management is part of the service, 3Bro CloudOps will implement the agreed backup solution; however, no backup system can guarantee complete protection against every form of data loss.
Clients should maintain independent backups of critical business information where appropriate.
9. Availability and Service Interruptions
We aim to provide reliable and professional services; however, continuous or uninterrupted availability cannot be guaranteed.
Service interruptions may occur due to maintenance, infrastructure failures, software issues, third-party outages, security incidents, network problems, or circumstances beyond our reasonable control.
Where ongoing support or a specific service-level commitment has been agreed in writing, that agreement will take precedence over this general provision.
10. Intellectual Property
Unless otherwise agreed in writing:
- The client retains ownership of materials, content, trademarks, data, and intellectual property supplied by the client.
- 3Bro CloudOps retains ownership of its pre-existing tools, templates, processes, methodologies, scripts, frameworks, and reusable technical knowledge.
- Upon receipt of applicable project fees, the client may use the final project deliverables created specifically for the client according to the agreed scope.
Third-party software, libraries, platforms, and services remain subject to their respective licenses and terms.
11. Confidentiality
3Bro CloudOps will treat non-public business and technical information provided by clients as confidential and will use such information only as reasonably necessary to provide the agreed services, except where disclosure is required by law or authorized by the client.

13. Limitation of Liability
To the maximum extent permitted by applicable law, 3Bro CloudOps will not be liable for indirect, incidental, special, consequential, or business-related losses arising from the use of our services, including loss of profits, revenue, business opportunities, or data.
Our services involve technology and third-party infrastructure, and no guarantee can be made that a system will be completely free from errors, vulnerabilities, interruptions, or failures.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
14. Client Data and Privacy
We may process information necessary to communicate with clients and provide requested services.
Personal information will be handled in accordance with our Privacy Policy and applicable laws and regulations.
Clients should avoid providing unnecessary sensitive or confidential information unless it is required for the agreed service.
